TERMS & CONDITIONS

By becoming an AMBER member you automatically become part of the Al Tayer Group loyalty program that offers its customers a rewarding and exciting experience when you shop with us.

1. Binding Definitions

In these terms: i) 'Al Tayer Group' 'we', 'our' or 'us' means the Al Tayer Group L.L.C.; ii) 'Amber' means the loyalty programme run by the Al Tayer Group; iii) 'Application' means the Amber mobile software application intended for use on a mobile telephone; iv) 'Earning Partners' means vendors authorised by the Al Tayer Group to issue Amber Points when you purchase their qualifying goods and services; v) 'Family' shall include the principle family member, his or her spouse and their children over the age of eighteen (18) years of age; vi) 'Points' means the non-monetary Amber credit provided to you resulting from any purchase of qualifying goods or items on the terms stated below and not capable of exchange for any monetary currency or credit; vii) 'Redemption Partners' means vendors authorised by the Al Tayer Group from whom goods and services can be obtained in exchange for redemption of Points; viii) a 'Reward Voucher' means a document sent by Al Tayer Group to you in writing, or electronically, which may be presented or shown to a Redemption Partner and which may at Al Tayer Group's sole discretion be exchanged in part or whole payment for goods or services specified therein; and ix) 'you', 'your' or 'principle member' means the individual named on this application form.

2. Binding Effect

Subject to the Al Tayer Group accepting you into Amber, by signing in writing or electronically accepting these terms, you agree to be bound by these terms as same may be varied by the Al Tayer Group in writing from time to time. These terms supersede any terms agreed to by you and the Al Tayer Group.

3. Membership

(a) These terms are void if entered into by an individual younger than eighteen (18) years of age. (b) Neither corporations nor any officer or employee of the Al Tayer Group (an 'Employee') may join Amber. In the event an individual becomes an Employee after being granted membership pursuant to these terms, such membership will immediately terminate and all benefits will cease. Direct family members of Employees may become members, but are not eligible to enter contests or win prizes. (c) The Al Tayer Group reserves the right to make the final decision to enter you into the Amber programme and reserves the right to terminate your membership or revoke your Points at any time. The Al Tayer Group will not charge you for membership but enrolment for membership will be subject to minimum purchase requirements specified by us, from time to time. (d) The Al Tayer Group may, in our sole and absolute discretion, grant a Family membership. In such case, a Family member who is an individual member may transfer all (but not some) of his/her accrued points to his/her Family membership. (e) The Al Tayer Group will issue you with an Amber membership card (the 'Card') which will remain our property and may be withdrawn or cancelled by the Al Tayer Group, for any reason. (f) Membership will automatically terminate in the event of your demise become bankrupt, or if the Card is not used within twelve (12) calendar months of successful application and acceptance into the Amber membership ("Automatic Termination"). Please note that in the event of Automatic Termination, you will lose all accrued points. (g) Subject to the cancelled Card being returned to one of the Earning or Redemption Partners, you may cancel your membership at any time by prior written notice, following which all benefits will immediately cease. The Al Tayer Group will not be liable to you in any way for Points loss due to cancellation through Automatic Termination or otherwise. (h) Membership is non-transferable unless agreed by us in writing.

4. Breach of Terms and Conditions

If you breach any of these terms, fail to pay for any purchase or provide false or misleading information on the application form the Al Tayer Group reserves the right to cancel your membership of Amber and/or withdraw any Points earned.

5. Points

(a) The Al Tayer Group and our Earning and Redemption Partners will determine from time to time which goods or services purchased by you will earn Points including the number of Points awarded. You may only earn Points when making purchases at stores of Earning Partners and only redeem Points at stores of Redemption Partners. (b) Unless specifically stated, no Points will be earned during a sale, promotion, or when a special offer is in effect. Points will not be awarded to the extent that Points are redeemed for an equivalent purchase sum. (c) To collect Points, you must show your Card at the time of purchase, or quote your membership number for telephone or internet purchases. Points are awarded only for goods or services actually supplied and paid for. (d) Activity summaries for the Points are issued bi-annually or as stated in promotional literature. You must notify the Amber Service Centre mentioned on the application form within four (4) weeks of a summary activity report of any inaccuracies in it, after which time the summary shall be deemed correct and accepted by you. Al Tayer Group's decision relating to alleged inaccuracies is final and binding. The Al Tayer Group reserves the right to correct your Point record as we consider appropriate at any time. (e) Points are personal and cannot be pooled with Points of any other Amber member except in the case of a transfer to a Family Amber Card. Family Amber Cards will be issued to one member of a Family only but may be used by any Family member. Points will be credited to the account of the principal Family member on the application form on behalf of the Family members but Points earned thereby may only be redeemed by the principal Family member stated on the Card. (f) Points will expire twenty-four (24) months from the date on which they were earned. (g) Points must be redeemed within the earlier of the date being (i) twenty-four (24) months from the date awarded or (ii) the date immediately before the expiry of your Card, failing which they shall automatically expire without further notice to you. (h) On collection of sufficient points, you may redeem points by: (i) requesting redemption of Points from any Redemption Partner (subject to its terms and conditions) against purchases of goods and/or services by presenting your Amber Card; or (ii) presenting a Reward Voucher to any Redemption Partner against purchases of goods and/or services. We, and our Redemption Partners, reserve the right to require suitable identification before allowing any redemption of Points. (i) You may, at our discretion and subject to the terms herein, acquire your purchase entirely or partially through the redemption of Points.

6. Rewards

(a) The Al Tayer Group may send you a non-transferable Reward Voucher, by post, or by using the Application from time to time. (b) You may, subject to agreement by the relevant Redemption Partner, redeem the reward on presentation of the Reward Voucher at a store of a Redemption Partner, in which case the specified Points on the Reward Voucher will be deducted from your points balance. (c) The Al Tayer Group shall not be held liable for any failure on the part of a Redemption Partner to avail of any Reward Voucher. Any redemption of a Reward Voucher is subject to availability, advance booking requirements (if necessary), cancellation restrictions or any other terms and conditions as stipulated by the Redemption Partner. (d) The Al Tayer Group will not be liable for any goods and/or services purchased with the Amber Card.

7. Mobile Application

(a) The Al Tayer Group reserves the right to provide you with access to the Application by means of a password and login code through which we may send you information and/or Reward Vouchers from time to time. We reserve the right to withdraw your use of the Application at any stage without notice or reason. (b) The Al Tayer Group will not be held responsible for the availability and/or accuracy of any information sent through the Application. Any information sent, including a Reward Voucher is intended for your personal information and is intended only to be communicated to you. We are not obliged to provide, sell, offer, discount or provide any items under sale to you through us or our Earning and Redemption Partners, for the price communicated to you. Any information or rewards communicated to you using the Application is not an irrevocable offer to contract and shall not be considered binding upon us in any manner whatsoever.

8. Your Personal Information

(a) You agree and acknowledge that your personal information may be held and processed by the Al Tayer Group (including within and for the Application), and may be disclosed to and shared with any of our group companies, the Earning Partners, Redemption Partners and any third party for any reason whatsoever as required, without any liability to you. Demographic and generic information provided by you may be held and used by us in any way for whatever reason without any liability to you, but such use will not identify you personally. (b) You acknowledge and agree that all information you provide to the Al Tayer Group is true accurate, and that you will notify us if there is any change in your name, address or other personal details. You agree and accept that we will be entitled to send you information, special offers and promotional messages from the Al Tayer Group, its brands and Amber via any of the communication routes included but not limited to electronic or mobile transfer like SMS, e-mails, phone calls, and direct postal mail.

9. General

(a) The Al Tayer Group reserves the right at any time and without prior notice to change or add to these terms, the qualifying goods and services, and our Earning and Redemption Partners, and to suspend, amend or terminate the Amber Points programme, notwithstanding that such change may result in reducing or extinguishing the number or value of, or the period of expiry of, any existing or future Points. (b) You must immediately notify our Service Centre of any loss of your Card. We will not be held liable for any loss, theft, damage, or unauthorised use of your Card or reward. Any replacement Card is provided at our discretion and a charge will apply for the issuance of replacement Cards. (c) All conditions and warranties, whether expressed or implied and whether arising under legislation or otherwise, as to condition, suitability, quality, fitness or safety of any Reward Voucher, Points awarded or products purchased are expressly excluded to the fullest extent permitted by law. Any liability that cannot be fully excluded is limited to replacing, repairing, or crediting the value of the Reward Voucher at our sole discretion. (d) Neither the Al Tayer Group, the Earning Partners nor the Redemption Partners will be responsible or liable whatsoever for any direct, indirect or consequential loss, damage, cost or liability arising from the use of the Card or Application, from your participation in the Amber Points programme, or any other action or omission arising as a result of the these terms or arising out of the Amber programme. Should the Al Tayer Group, any Earning Partners, or any Redemption Partner be found responsible or liable to you, such responsibility or liability shall be limited to the value of any Points standing to your credit at that time. (e) Earning Partners and Redemption Partners do not have any authority, express, or implied, to make any representation or warranty on our behalf. (f) These terms are governed by the laws of the country in which you reside at the time of submitting your application for membership or where you incur the majority of your Card transactions. The Al Tayer Group shall determine the appropriate jurisdiction at its reasonable discretion.
